Terms of Service
The binding contract between Customer and Shreesoftic when using SellerSaarthi. Governed by Indian law; arbitration in Surat.

1. Acceptance
Accessing or using SellerSaarthi (the "Service") constitutes a binding contract between you ("Customer") and Shreesoftic, proprietorship of Hiren Chheta, operating the product under the brand SellerSaarthi.
2. Definitions
Customer — the legal entity or individual accessing the Service. Service — the SellerSaarthi software, website, and related interfaces. Amazon Data — data we access on Customer's behalf via the Amazon Ads API and SP-API. User Content — configuration, rules, messages, and other data Customer inputs. Fees — subscription and usage charges. Authorised Users — persons Customer permits to access the Service.
3. Account registration
Customer warrants provided information is accurate; maintains one account per business; is responsible for credentials, activity, and authorised users; and confirms each authorised user is at least 18.
4. Service description
The Service operates per the specifications at /features and /pricing. SellerSaarthi does not guarantee specific ACoS, TACoS, or other financial outcomes. Automation is probabilistic; human review is always available.
5. Subscription, fees, billing
Plans auto-renew until cancelled. GST 18% added at checkout for Indian customers. Refund terms are set in the Refund & Cancellation Policy. On failed payment we retry 3 times over 7 days, then pause automation and enter a 30-day grace period before suspension.
6. Customer responsibilities
Customer agrees to: provide accurate Amazon account configuration; comply with Amazon's own terms and policies; use the Service only for lawful purposes; not attempt to reverse-engineer, re-sell, or circumvent the Service; and not use the Service to violate Amazon's Partner Network Policies.
7. Amazon integration terms
By connecting an Amazon account, Customer authorises SellerSaarthi to act on Customer's behalf via the Amazon Ads API. Customer may revoke this authorisation at any time. We are not Amazon, and are not liable for Amazon's actions, outages, or decisions. SellerSaarthi operates as an Amazon Ads Partner under Amazon's Partner Network Policies.
8. Intellectual property
SellerSaarthi owns the Service, including all software, models, documentation, and trademarks. Customer owns User Content and Amazon Data accessed on Customer's behalf. Customer grants SellerSaarthi a limited licence to process these strictly to operate the Service.
9. Confidentiality
Each party will protect the other's confidential information with at least reasonable care. Confidentiality obligations survive termination for 3 years. Standard exceptions (public information, independently developed, compelled by law) apply.
10. Data processing
The Privacy Policy and Data Processing Addendum are incorporated by reference and govern personal data processing under the Service.
11. Warranties
The Service is provided "as is" with commercially reasonable effort. SellerSaarthi does not warrant uninterrupted operation or guarantee specific financial outcomes.
12. Limitation of liability
SellerSaarthi's aggregate liability arising out of or relating to the Service is capped at the fees paid by Customer in the 3 months preceding the claim. SellerSaarthi is not liable for indirect, consequential, or punitive damages. Consumer-friendly carve-outs under Indian consumer law are preserved.
13. Indemnification
Each party will indemnify the other against third-party claims of intellectual-property infringement and material breach of these Terms, subject to prompt notice and reasonable cooperation.
14. Term and termination
Customer may terminate at any time via self-serve cancellation. SellerSaarthi may terminate on material breach with 30 days' cure period. On termination, data is handled per the Privacy Policy and Data Retention Schedule.
15. Dispute resolution
Parties will attempt good-faith negotiation first. Unresolved disputes will be settled by arbitration in Surat, Gujarat, under the Arbitration and Conciliation Act, 1996. These Terms are governed by Indian law.
16. Miscellaneous
Force majeure (pandemic, act of government, failure of public infrastructure) excuses performance. Neither party may assign without consent except to a successor-in-interest. These Terms plus the referenced policies constitute the entire agreement. Failure to enforce is not waiver. Notices via the email addresses on file.
